Sales and Marketing Co-operation agreement between Marine Subsea Group AS / EXSTO sas and its subsidiary Dunlaw Engineering Ltd.

Åndalsnes, Norway / Romans-sur-Isère, France / Atworth, UK 31st August 2007

Marine Subsea Group AS (MSG) based at Åndalsnes in Norway, supplier of advanced Subsea buoyancy products for offshore / subsea market, Dunlaw Engineering Ltd (Dunlaw) based in Aberdeen and Atworth in UK, supplier of advanced polyurethane and steel ancillary products for the offshore / subsea market, and its mother company EXSTO sas based in Romans-sur-Isère in France, manufacturer of cast polyurethane products, announce that the companies have entered into a Sales- and Marketing Agreement for the offshore market.

The companies have complementary product ranges, and under this Agreement the companies will optimise their marketing efforts, and propose complete product packages of buoyancy and ancillary products to pipeline manufacturers and oilfield installers world wide.

A first joint contract is already entered into with Nexen Inc. UK, under which the companies delivers from MSG buoyancy systems for a flexible riser and an umbilical cable, and Impact Protection from Dunlaw.

Christophe Torres, Director of Dunlaw Engineering Ltd and General Manager of EXSTO sas, comments the agreement:

“For our customers in the offshore business, this agreement offers the possibility to contract for a global package, with our existing range of products (bend restrictors, bend stiffeners, VIV’s strikes, SCIP for impact protection, protective sleeves, seals, markers, etc.) including the buoyancies expertise from Marine Subsea Group.”

Since the beginning of March 2006, DUNLAW became a subsidiary of EXSTO.

EXSTO is a French global industrial company specializing in design and production of engineered parts from polyurethanes, thermoplastics and composites technologies.

The company is involved in several industries including offshore applications, with a leading position in polyurethane.

The synergy between the two companies creates the most beneficial partnership, as the acquisition of DUNLAW ENGINEERING represents the opportunity to develop the positioning on a strategic market for EXSTO, and offers to DUNLAW the possibility to expand its capability in bend restrictors, stiffeners, VIV's strakes, SCIP for impact protection, protective sleeves, seals, markers, etc.

A new management team has been set up and will be now supported by a 200 people company.
